Closing your business? Starcycle runs the shutdown with you.
Get startedTo dissolve a Stripe Atlas company, you need to complete Delaware's dissolution requirements and the applicable IRS filings before treating the closure as finished. Closing your Stripe account alone does not dissolve the company. Delaware requires franchise tax payments and annual reports before the certificate is filed, while Form 966 and the final tax return have their own deadlines.
This guide explains the steps for a Delaware C-corp, the registered agent considerations and the support options Stripe lists. You can do the work yourself or use a shutdown service to manage the administration; either way, talk to your lawyer before you file and confirm your tax filings with your CPA. Starcycle offers a dated plan and dedicated support for complex cases.
Stripe lists account closure last, and closing the account cancels your registered agent subscription. Confirm the timing with your lawyer before canceling the account.
Stripe's checklist puts account closure last. Its Dissolving your company page and Atlas business taxes guide give the order:
The tax guide also says "Consider consulting a lawyer to ensure your company is fully dissolved."

Delaware won't file your certificate of dissolution until every tax due through the dissolution date is paid and every required annual franchise tax report is filed. Its frequently asked questions add that taxes accrue until a filing that ends the company's existence, such as a certificate of dissolution, is filed.
What Delaware publishes about the annual filing:
The amount due depends on your shares and assets, so work from Delaware's page and confirm the filing list with your CPA.
Delaware's Division of Corporations files the certificate of dissolution. The form asks for the date the board of directors and/or the stockholders authorized the dissolution, so that approval comes first.
Delaware's cover letter lists a $224 filing fee (rev. 8/2026). The dissolutions and cancellations forms page lists several certificate types for corporations, and the document upload service takes filings online. Talk to your lawyer before you file. Our guide to dissolving a corporation in Delaware covers the process in detail.
Your registered agent, the company's official contact address in Delaware, comes through Legalinc as part of Stripe Atlas. Stripe's closing page lists dissolving the company first and closing the Stripe account last. It also says that when you close the account, Stripe cancels your registered agent subscription "so you are not charged upon renewal", and that all Delaware companies are required to maintain a registered agent.
Stripe renews the registered agent service each year on your formation date, and you can cancel the subscription from the Dashboard. Delaware sends its tax notices to the registered agent. If the dissolution won't be filed before your renewal date, ask your lawyer how to keep an agent in place until it is.

Obligation tracking, document organization, and stakeholder coordination — in one platform, in the right order.
Get my shutdown planThe Form 966 deadline runs from adoption of the resolution or plan to dissolve, ahead of Delaware's certificate. The IRS lists Form 966, Corporate Dissolution or Liquidation for a corporation that adopts a resolution or plan to dissolve, and the form's instructions say to file it within 30 days after the resolution or plan is adopted.
For a C corporation, the IRS closing a business page lists:
Confirm the filing list with your CPA. Our guides cover closing a business with the IRS and canceling your EIN, the company's federal tax ID.
The calendar keeps running until the company is dissolved, and Stripe notes that a final tax filing may also be required for the year it dissolves. Stripe's key tax dates page says Atlas companies "must file federal taxes for each year after forming, unless they choose to dissolve the company," and lists these dates each year, with the 2026 dates it publishes:
Your CPA can confirm which of these apply to your company's final year.

Your company lives in Delaware even if you've never been there, and Stripe describes every Atlas company as a domestic United States company. The Delaware and IRS pages linked above set out the dissolution steps; your lawyer or CPA can confirm whether anything else applies to a company whose owners live abroad.
What the official pages say:
We prepare and file the paperwork, track key dates and cancellation timelines, and keep your documents together.

Keep the filing deadlines together in one plan: approval starts the 30-day Form 966 deadline, and Delaware won't file the certificate until the franchise tax is paid and the annual report filed. The remaining steps include the final return, bank account closure and, last, closing Stripe.
If you'd like help, Starcycle prepares and files the paperwork, tracks key dates and cancellation timelines, keeps your documents together, and coordinates final returns with a CPA. We can also make intros to lawyers and accountants.
Once your formation documents are signed, Stripe says it "can't cancel your company's formation," and its cancel incorporation page points you to dissolving instead.
Yes. Delaware's forms page lists several certificates for corporations, including short forms. Your lawyer can confirm which certificate fits your circumstances.
